1. Introduction
These Terms of Service (“Terms”) govern the provision of services by Field & Function (“we”, “us”, “our”) to clients (“Client”, “you”).
By engaging our services, you agree to be bound by these Terms.
2. Services
Field & Function provides Shopify-related services including, but not limited to:

Shopify store setup and configuration
-
Technical optimisation
-
Ongoing maintenance and support

Strategic consultation
Scope of work will be defined in a written proposal, agreement, or invoice prior to commencement.
3. Project Scope & Changes
All work is carried out according to the agreed scope outlined.
Any additional work outside the agreed scope may:

Require a revised proposal

Be billed at an agreed hourly or fixed rate

Adjust timelines accordingly
We reserve the right to pause work if scope expansion is not formally approved.
4. Fees & Payment

Payment terms will be outlined in your proposal or invoice.

A deposit may be required before work begins.

Final balance is due prior to launch or transfer of files.
-
Ongoing services are billed monthly unless otherwise agreed.
Late payments may result in paused services.
5. Client Responsibilities
The Client agrees to:

Provide timely access to Shopify, hosting, and required accounts

Supply content, imagery, and brand assets when requested
-
Review deliverables within reasonable timeframes
-
Ensure all provided materials are legally owned or licensed
Delays in communication may impact project timelines.
6. Intellectual Property
Upon full payment:

The Client owns the final website design and agreed deliverables.

Field & Function retains the right to display completed work in portfolios and marketing materials.
Any third-party tools, themes, or plugins remain subject to their respective licences.
7. Third-Party Services
Field & Function is not responsible for:

Shopify platform outages
-
Third-party app performance
-
Hosting interruptions
-
External software issues
We may recommend third-party tools but do not guarantee their performance.
8. Results & Performance
While we apply strategic and technical best practices, we do not guarantee:

Specific revenue outcomes
-
Conversion rate increases
-
Search engine rankings
Business performance depends on multiple external factors beyond our control.
9. Termination
Either party may terminate services in writing.
If termination occurs:

Work completed to date will be invoiced
-
Deposits are non-refundable once work has commenced
Ongoing retainers may require notice as defined in the agreement.
10. Limitation of Liability
Limitation of Liability
To the fullest extent permitted by law, Field & Function shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of revenue, loss of profits, loss of business opportunity, data loss, or reputational damage arising out of or related to the use of our services.
We do not guarantee specific business outcomes, revenue increases, search engine rankings, conversion rates, or performance improvements.
Our total liability for any claim arising out of or relating to the services provided shall be limited to the total fees paid by the Client for the specific services giving rise to the claim.
Field & Function shall not be liable for any issues arising from:

Third-party platforms, including Shopify
-
Third-party applications, integrations, or software
-
Hosting interruptions or outages
-
Client modifications made after project completion
-
Delays caused by the Client’s failure to provide required materials or approvals
Nothing in these Terms shall limit or exclude liability for death or personal injury caused by negligence, fraud, or any liability that cannot be excluded under the laws of England and Wales.
11. Confidentiality
We respect client confidentiality and will not disclose sensitive business information without consent, except where legally required.
12. Governing Law
These Terms are governed by the laws of England and Wales.
13. Amendments
We reserve the right to update these Terms at any time. Updated versions will be published on this page.
